Security:

SAFE (Simple Agreement for Future Equity) – Y Combinator Standard Form (Valuation Cap, no discount)

Investment Amount:

Minimum $50,000, increments of $10,000

Valuation Cap:

$5,800,000

Discount:

None (standard Valuation Cap SAFE)

Conversion:

Investment converts into preferred shares of WOWW, Inc. In the next equity financing round, based on the lower of:
- The Valuation Cap ($5.8M), or
- The price paid by new investors in such financing.

Maturity / Term:

This SAFE has no maturity date and no interest (as per YC standard).
